Terms of Service

The master governing agreement between you and InboxDays for use of the InboxDays platform, websites, and related services.

These Terms of Service (“Terms”) govern access to and use of InboxDays (the “Service”). By creating an account, clicking accept, or using the Service, you agree to these Terms, the Privacy Policy, and the Acceptable Use Policy. During the private beta, you also agree to the separate Beta Programme Terms, which control where they conflict with these Terms for beta participation. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

InboxDays provides an intelligent browser email client and related features, which may include unified mailbox views, search, tags, delete/TTL rules, rolling auto-archive, Important mail, WORM Vault compliance archiving, passkey authentication, AI-assisted drafting, calendar draft suggestions, secure (Vault) messaging, and account settings. Features may vary by plan and region and may change as we improve the product.

2. Accounts & registration

  • You must provide accurate registration information and keep credentials secure.
  • Authentication is provided via our identity provider (Keycloak) and optional federated IdPs (e.g. Google).
  • You are responsible for activity under your account unless you notify us of unauthorized use promptly.
  • We may suspend or terminate accounts that violate these Terms or the AUP.

3. Plans, billing & auto-renewal

When self-serve paid plans (Pro and Ultra) are offered, they are billed in advance on a recurring monthly or annual basis through our Merchant of Record. We intend to use Paddle as Merchant of Record once our commercial agreement with Paddle is in place; until then, paid self-serve checkout is not available and plan prices shown on the marketing site are indicative. Enterprise and Teams plans are quoted separately and may be invoiced under a negotiated order form. Once self-serve subscriptions are enabled, they will auto-renew at the then-current plan price for the billing interval you selected (monthly or annual) until canceled. We may change prices with notice as required by law; changes take effect on the next renewal after notice unless otherwise stated.

4. Auto-purge / TTL disclaimer

Important. When you or your organization configures Time-To-Live (TTL) deletion rules, retention policies, or delete rules, InboxDays permanently deletes or makes unrecoverable the affected data after the configured retention window expires. InboxDays is not liable for lost or unrecoverable data once a retention window expires pursuant to rules you (or your admin) configured. Review TTL and delete-rule settings carefully before enabling them on production mailboxes.

5. Service availability & backups

We host the Service primarily on Amazon Web Services (AWS) infrastructure designed for high resilience. Notwithstanding that resilience:

  • We do not guarantee uninterrupted or error-free operation. Planned maintenance and unforeseen incidents may affect availability.
  • You remain responsible for keeping critical backups of important content unless you use a separately offered WORM Vault or equivalent durable retention product feature that we expressly designate as a backup/retention guarantee.
  • Provider mailboxes (Gmail, Microsoft 365, IMAP) remain authoritative at the mail provider; InboxDays sync and indexing do not replace provider-side retention.

6. Zero-knowledge Vault & encryption

Certain features encrypt content client-side so InboxDays cannot read the plaintext. Those features are subject to the Zero-Knowledge Cryptographic Disclaimer. Loss of keys or passkeys may make Vaulted data permanently unrecoverable.

7. AI features

Optional AI assist features are governed by the AI Data Privacy & Model Ethics Statement. AI outputs may be inaccurate; you must review drafts before sending.

8. Acceptable use

You must comply with the Acceptable Use Policy. We may rate-limit, suspend, or terminate access for abuse, spam, malware distribution, or illegal content generation.

9. Intellectual property

InboxDays and its licensors own the Service, branding, and software. You retain ownership of your content. You grant us a limited license to host, process, transmit, and display content solely to provide and secure the Service as described in the Privacy Policy.

10. Third-party services

The Service integrates with subprocessors and providers listed in the Subprocessor Directory (including AWS, Keycloak, and Google; billing providers such as Paddle when engaged). Your use of third-party mail providers remains subject to those providers’ terms.

11. Disclaimers

EXCEPT WHERE PROHIBITED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS AND AUTOMATED RULES ARE TOOLS, NOT PROFESSIONAL ADVICE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INBOXDAYS AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO INBOXDAYS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND ESPECIALLY TO TTL/AUTO-PURGE DELETIONS AND UNRECOVERABLE ZERO-KNOWLEDGE VAULT DATA AFTER KEY LOSS.

13. Indemnity

You will defend and indemnify InboxDays against claims arising from your content, your use of the Service in violation of law or these Terms, or your misuse of AI or secure-messaging features.

14. Termination

You may stop using the Service and cancel paid plans per the Cancellation Policy. We may suspend or terminate for material breach, legal risk, or non-payment. Provisions that by nature should survive (including liability limits, TTL disclaimer, and IP) survive termination.

15. Enterprise customers

If you purchase an enterprise offering, a negotiated order form or the Data Processing Addendum may supplement these Terms. In case of conflict on data-protection terms, the DPA controls for processing of Customer Personal Data.

16. Changes

We may update these Terms by posting a revised version with an updated “Last updated” date. Material changes will be communicated as required by law. Continued use after the effective date constitutes acceptance.
